These Terms and Conditions (“Terms”) govern your access to and use of the website and services provided by OrtaDigital LLC (“Company,” “we,” “our,” or “us”). By accessing our website or purchasing our services, you agree to these Terms.

If you do not agree, do not use our services.

1. Services

We provide digital services including website design and development, AI automation systems, CRM and funnel setup, digital marketing consulting, digital templates, and related technical services. The exact scope of work is defined in your proposal, invoice, or written agreement. Any additional work outside of the agreed scope may require additional fees.

2. Eligibility

You must be at least 18 years old to use our services. By using our services, you confirm that you have the authority to enter into a legally binding agreement.

3. Payment & Billing

All pricing and payment terms are outlined in your proposal or invoice. Payment may be required upfront, in milestones, or as a recurring subscription depending on the service purchased. If payment is not received by the due date, we reserve the right to suspend or terminate services. Any outstanding balances must be paid before work resumes.

4. Refund Policy

All payments are non-refundable once work has begun unless otherwise stated in writing. Deposits are non-refundable. Custom development work and digital services are non-refundable due to the time and resources allocated. If you file a chargeback without first contacting us to resolve the issue, we reserve the right to immediately terminate services and pursue recovery of funds.

5. Intellectual Property

You retain ownership of any materials or content you provide to us. You grant us a non-exclusive license to use such materials for the purpose of delivering services.

Upon full payment, ownership of final deliverables transfers to you unless otherwise agreed in writing. We retain the right to display completed work in our portfolio unless a separate written confidentiality agreement states otherwise. All internal systems, processes, frameworks, templates, and proprietary methodologies remain the intellectual property of CorePathDigital.

6.Client Responsibilities

You agree to provide accurate information, required content, timely approvals, and cooperation necessary to complete the project. Delays in providing required materials may result in project delays. You agree not to use our services for unlawful, fraudulent, or unethical activities.

7. Third-Party Platforms

Our services may rely on third-party platforms such as hosting providers, payment processors, CRM systems, ad platforms, or automation software. We are not responsible for outages, service interruptions, account suspensions, policy changes, or performance issues caused by third-party platforms.

8. Limitation of liability

To the fullest extent permitted by law, OrtaDigital LLC shall not be liable for indirect, incidental, consequential, or special damages including lost profits, lost data, business interruption, or reputational damage. Our total liability shall not exceed the amount you paid to us for services within the three months preceding the claim.

9. Termination

We reserve the right to terminate services if payment is not received, if these Terms are violated, or if the client engages in abusive, unethical, or unlawful behavior. You may terminate services subject to payment of any outstanding fees and obligations already incurred.

10. Communication and SMS

If you opt in to receive SMS communications, you may receive service-related messages, appointment reminders, or promotional messages. Message frequency may vary and message and data rates may apply. You may opt out at any time by replying STOP. Carriers are not liable for delayed or undelivered messages. We do not sell or share mobile information with third parties for marketing purposes.

11. Confidentiality

Both parties agree to maintain confidentiality of proprietary or sensitive business information shared during the course of the engagement.

12. Indemnification

You agree to indemnify and hold harmless OrtaDigital LLC from any claims, damages, or liabilities arising from content you provide, services you sell, marketing claims you make, or your violation of any laws or regulations.

13. Governing Law

These Terms are governed by the laws of the State of New Jersey. Any disputes shall be resolved in the appropriate courts located within that state.

14. Modifications

We reserve the right to update or modify these Terms at any time. Continued use of our services after changes are posted constitutes acceptance of the updated Terms.
